Lastly, before you print stacks of letterhead and send out sales brochures, make sure the business name you’ve chosen is available for use in your state. The last thing you want to do is to find out after you’ve invested money into promoting the name of your business that there’s another business by the same name who has already registered in your state—or that you’re infringing on someone’s federal trademark!

Register Your Business.

The exact process to follow to register your business will depend on the type of entity you’re forming, but it is always the case that corporations and LLCs are formed at the state level. Articles of Incorporation or Organization must be submitted to the Secretary of State’s office, along with the filing fee and any additional documentation required.

You’ll also want to obtain an EIN for your new business; the EIN, or Employer Identification Number, is assigned by the IRS and will be used for tax reporting purposes for the duration of your business. 

You should wait until after your business has been officially registered in your state before taking any further steps for which you must provide the official name of your business, and consider hiring a trademark attorney to make sure you’re not infringing on another business’s rights.

Obtain Necessary Licenses and Permits.

Submitting formation documents and officially existing is just the start; it is also your business’s responsibility to ensure that it’s compliant with the rules and regulations at each level of government: city or town, county, and state.

Your business may have other license or permitting requirements that are not addressed by the Secretary of State’s office. For instance, the Franchise Tax Office may require you to complete a form, or your state’s Zoning Office may require information on your building. It’s important that you contact each level of government to determine their requirements, or request an informative brochure from your Secretary of State’s office, if available.
